Terms & Conditions

These Terms of Service ("Terms") govern your use of serpenticreative.com (the "Site") and any services offered by Serpenti Creative Services Inc. ("Serpenti," "the studio," "we," "our," "us"). By using the Site or purchasing our services, you agree to these Terms.

1. Who we are

Serpenti Creative Services Inc. is a corporation registered in British Columbia, Canada. Registered address: The Pacific Centre, 777 Dunsmuir Street, 17th Floor, Vancouver, BC V7Y 1K4, Canada. Business number available on request.

2. Services

Serpenti offers creative and production services for published and forthcoming works, including but not limited to editorial services, cover and interior design, audiobook production, distribution setup, literary translation, foreign edition design, rights and clearance consulting, and related professional services. Services are offered à la carte and in packages, as described on the Site or in an individual engagement agreement.

3. Engagement

Each project is governed by a written engagement agreement or a package purchase confirmation, which together with these Terms form the entire agreement between you and Serpenti for that project. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement controls for the scope of that project.

4. Payment

Prices for packaged services are published on the Site and are quoted in Canadian dollars unless otherwise stated. Custom engagements are quoted in writing and invoiced in accordance with the terms of the engagement agreement. Payment is due as described in your purchase confirmation or engagement agreement. Late payment may result in suspension of work until the account is brought current.

5. Refunds and cancellations

Our Refund & Cancellation Policy is incorporated into these Terms by reference.

6. Intellectual property — your work stays yours

You retain full ownership of your original manuscript, recordings, artwork, and any other pre-existing intellectual property you bring to the engagement ("Client IP"). By engaging Serpenti, you grant us a limited, non-exclusive license to use your Client IP solely for the purpose of performing the contracted services.

Deliverables created by Serpenti in the course of the engagement (edited manuscripts, designed covers, produced audiobooks, translated editions, etc.) are transferred to you upon full payment. Serpenti retains the right to display finished work in our portfolio and marketing materials unless you request otherwise in writing before or at the start of the engagement.

7. Third-party fees

Some services involve third-party costs (ISBN registration, distribution fees, translator payments, licensor fees for cleared material, printing, etc.). These are itemized in your engagement agreement, are payable in addition to Serpenti's fees, and are non-refundable once incurred.

8. Timelines

Serpenti provides target timelines for each engagement. We work carefully, and quality controls take priority over speed. We will notify you in writing of any material timeline change. You may cancel under the Refund & Cancellation Policy if a change is unacceptable.

9. Your responsibilities

• Provide accurate, complete manuscripts, files, or other source material
• Respond to studio requests for input or approval within a reasonable time
• Warrant that any material you provide is your own or fully cleared for the use contemplated
• Notify us promptly of any concern about the work in progress

10. Warranties and disclaimers

Serpenti performs services with professional care and skill. We do not, however, guarantee any particular commercial outcome — sales, reviews, awards, media coverage, or bestseller status. All services are provided "as delivered" and, except as expressly set out in these Terms or an engagement agreement, without warranties of any kind.

11. Limitation of liability

To the fullest extent permitted by law, Serpenti's total liability for any claim arising out of or relating to these Terms or an engagement is limited to the amount you paid Serpenti for the engagement giving rise to the claim in the twelve (12) months preceding the event. In no event will Serpenti be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. Any dispute will be resolved in the courts of British Columbia, Canada, and you consent to that jurisdiction.

13. Changes

We may update these Terms from time to time. The effective date at the top will reflect the most recent revision. Continued use of the Site or services after a change constitutes acceptance of the updated Terms.
